IMPORTANT NOTICE: Please read these Terms and Conditions carefully before accessing our website, engaging our ecosystem services, or issuing a project order.

By visiting our website, signing a Statement of Work (SOW), issuing a purchase order, or remitting any advance deposit to Anant Nova, you confirm that you have read, understood, and agreed to be legally bound by these Terms and Conditions in full.

In these Terms and Conditions, unless the context otherwise requires:

• "Company" / "Firm" / "We" / "Us" / "Our": Refers to M/s Anant Nova, a partnership enterprise formed and represented by its founding partners, Aaditya Chaudhary and Mohammad Nafis Ansari.
• "Client" / "User" / "You": Refers to any individual, startup, founder, vendor, organization, or corporate entity engaging Anant Nova for services or utilizing our website.
• "Services": Includes all digital, software, web, mobile app, artificial intelligence, automation, branding, visual design, strategic consulting, and partner coordination solutions executed by Anant Nova.
• "Agreement": Refers collectively to these Terms and Conditions, any executed Statement of Work (SOW), commercial quotations, purchase orders, and official invoices.

Anant Nova operates as a unified Business & Technology Execution Ecosystem across seven distinct business journey phases: Start, Brand, Build, Launch, Grow, Operate, and Evolve. All deliverables and professional engagements are classified under three operational tiers:

• Upfront Mobilization Deposit: No technological development, design prototyping, code architecture, or vendor commitment shall commence without the full clearance of the agreed upfront advance deposit (typically 40% to 50% of the total contract value, as formally defined in the approved commercial quotation).
• Milestone Invoicing & Balance Settlement: Balance payments shall be liquidated strictly according to the agreed project milestones. All issued invoices must be cleared within seven (7) business days of issuance. Failure to clear milestone dues grants Anant Nova the unconditional right to pause development sprints, halt server operations, and defer subsequent deployments until payment clearance.
• Withholding of Digital Deliverables: Production deployments, full database exports, DNS pointing, admin-level root credentials, and uncompiled production source codes shall strictly remain withheld until full, final, and verified settlement of all outstanding invoices.

Voluntary Cancellation by Client: The Client may request project termination via official written communication. However, the Client remains legally liable to compensate Anant Nova on a quantum meruit basis for all work executed, engineering hours expended, and non-cancellable partner commitments incurred up to the date of notice receipt.

The 30% Completion Threshold Forfeiture: Where a project has achieved 30% (thirty percent) progress or higher—as determined by design approvals, sprint deployments, core architecture setup, backend APIs, or elapsed project timeline:

1. The entire advance deposit and any subsequent milestone sums paid to date shall stand strictly non-refundable and forfeited as pre-estimated liquidated damages for dedicated team allocation and technical setup.
2. The Client shall possess no legal title, license, or access to raw source code repositories, staging web links, proprietary scripts, server databases, wireframes, or administrative panels.
3. The Client may elect to place the project on a formal written hold (not exceeding 60 calendar days) or proceed with complete termination under the forfeiture terms above.

• Client Domain Ownership Mandate: All domain names, DNS configurations, core cloud servers, third-party API subscriptions, and third-party software licenses must be procured directly in the legal name of the Client and funded entirely by the Client.
• Annual Renewals & Cost Escalations: Recurring domain registration fees and hosting infrastructure costs are subject to external vendor pricing and must be renewed by the Client on an annual basis. Anant Nova disclaims all liability for website downtime, loss of organic search ranking, email outage, or domain expiration resulting from a Client's failure to renew assets.
• Exclusive Maintenance Authority: Maintenance, core security patches, architectural updates, and code optimization shall be performed strictly by Anant Nova under an active Maintenance Agreement. The Firm disclaims all liability for functional defects, bugs, or data corruption introduced if the Client grants external third-party developers access to the production environment.

• Approval Finality: Formal sign-off on visual wireframes, interactive prototypes, brand identity designs, or architectural roadmaps shall be final and conclusive.
• Iterative Threshold: The Client is entitled to a limited number of minor revisions (maximum two (2) iterative rounds of non-structural refinements within seven (7) calendar days of draft submission). Further revision requests remain at the sole operational discretion of Anant Nova and are subject to current team availability.
• Out-of-Scope Variations: Functional shifts, structural redesigns, additional API integrations, or architectural overhauls requested post-approval shall be formally classified as Scope Additions and billed separately at the prevailing development rate.

• Assignment of Deliverables: Subject to 100% full and final payment, Anant Nova assigns to the Client the perpetual commercial license to use the final custom deliverables and production web code. Preliminary mockups, unselected designs, internal engineering frameworks, and proprietary utility libraries remain the exclusive intellectual property of Anant Nova.
• Portfolio & Case Study Rights: Anant Nova reserves the perpetual right to display completed websites, public applications, web addresses, and creative branding across its digital portfolio, case studies, social channels, and sales decks.
• Privacy Note / NDA Exemption: Clients requiring complete stealth mode, white-label anonymity, or strict non-disclosure must formally apply for and execute a specific Privacy / Non-Disclosure Note (NDA) prior to project commencement.

• Liability Cap: To the maximum extent permitted by applicable law, Anant Nova's aggregate liability for any claim arising out of or relating to these Terms or Services shall be strictly limited to the actual amount paid by the Client to Anant Nova under the specific project invoice in dispute.
• Indemnification: The Client agrees to indemnify, defend, and hold harmless Anant Nova, its partners, affiliates, and ecosystem partners from any claims, losses, liabilities, damages, and legal costs arising from: (a) Client-provided content, trademarks, or media that infringe third-party rights; (b) Client misuse of software; or (c) failure to comply with statutory regulations.

These Terms shall be governed by, construed, and enforced in accordance with the substantive laws of the Republic of India.

In the event of any contractual dispute, claim, or controversy, the parties shall first attempt to resolve the matter through mutual discussions within thirty (30) days. Failing amicable resolution, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, before a Sole Arbitrator appointed jointly by the Partners of Anant Nova.

The legal seat and venue of arbitration shall be Mumbai, Maharashtra, India. The courts of competent territorial jurisdiction in Mumbai, Maharashtra, India, shall have exclusive jurisdiction over all matters arising hereunder.
